We encourage you to review the Terms of Use, along with the Privacy Policy below, which is incorporated by reference, as they form a binding agreement between Rural Opportunities, Inc. (“Rural Opportunities”) and you. In addition, because Rural Opportunitites may revise these Terms of Use from time to time, in our discretion, we also encourage you to check back periodically to familiarize yourself with any changes. If we make any changes or modifications, we will post the updated Terms of Use on the Web site. Please note that the changes become effective immediately at the time of posting. Each use of this site constitutes acceptance of any revised or modified terms of use.

    The trademarks, logos, characters and service marks (collectively “Trademarks”) displayed on this Seeds of Success site belong to Rural Opportunities unless otherwise indicated. Some materials provided herein are owned by and are the intellectual property of Youngbiz.com. Nothing contained on this Web site should be construed as granting any license or right to use any Trademark displayed on this Web site. RURAL OPPORTUNITIES SHALL NOT BE LIABLE FOR ANY SPECIAL, DIRECT, INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES OF ANY KIND WHATSOEVER (INCLUDING, WITHOUT LIMITATION, ATTORNEYS’ FEES) IN ANY WAY DUE TO, RESULTING FROM, OR ARISING IN CONNECTION WITH THE USE OF OR INABILITY TO USE THE WEB SITE OR THE CONTENT, TO THE EXTENT THE FOREGOING LIMITATION OF LIABILITY IS PROHIBITED, PROVIDER’S SOLE OBLIGATION TO YOU FOR DAMAGES SHALL BE LIMITED TO THE REFUND OF THE FEES PAID BY YOU FOR ACCESS TO THE SITE FOR THE LAST 3 MONTHS.

  10. Remedied for Violations. Rural Opportunities reserves the right to seek all remedies available at law and in equity for violations of these Terms of Use, including but not limited to the right to block access from a particular Internet address to the Provider’s Web sites and their features.

  11. Severability of Provisions. These Terms of Use incorporate by reference any notices contained on the Web Site, The Payment Terms, and the Privacy Policy constitute the entire agreement with respect to access to and use of the Web Site. If any provision of these Terms of Use is unlawful, void or unenforceable then that provision shall be deemed severable from the remaining provisions and shall not affect the validity and enforceability of the remainder.

  12. Modifications to Terms of Use. Rural Opportunities reserves the right to change these Terms of Use at any time. Updated versions of the Terms of Use will appear on this Web Site and are effective immediately. You are responsible for regularly reviewing the Terms of Use. Continued use of the Web Site after any such changes constitutes your consent to such changes.

  13. COPYRIGHT INFRINGEMENT POLICY

    In compliance with the Digital Millennium Copyright Act (“DMCA”), Rural Opportunities has established the procedure outlined below to address alleged copyright infringement on the Web site. If you believe that your work has been copied and has been posted to this Web site in a way that constitutes copyright infringement, you may provide Rural Opportunities with notice of your complaint by providing Rural Opportunities’ Designated Copyright Agent with the following information in writing:

    a. the electronic or physical signature of the owner of the copyright or the person authorized to act on the owner's behalf;

    b.  identification of the copyrighted work that you claim has been infringed;

    c.  identification of the material that is claimed to be infringing, with information about its location reasonably specific to permit Rural Opportunities to locate the material;

    d.  your name, address, telephone number, and email address;

    e. a statement by you that you have a good faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law; and

    f.  A statement, made under penalty of perjury, that the above information in your notification is accurate and that you are the copyright owner or are authorized to act on the copyright owner's behalf.

    Rural Opportunities, in its sole discretion, reserves the right to refuse additional Content from members who have posted allegedly infringing material, and/or delete the material, or to terminate such members’ accounts.

    After receiving a notification, Rural Opportunities will process and investigate the notification and will take appropriate actions under the DMCA and other applicable intellectual property laws. Upon receipt of a notification that complies or substantially complies with the DMCA (as set forth above), Rural Opportunities will act expeditiously to remove or disable access to any material claimed to be infringing or claimed to be the subject or infringing activity, and will act expeditiously to remove or disable access to any reference or link to material or activity that is claimed to be infringing. Rural Opportunities will promptly take reasonable steps to notify the member that is the subject of the notification that it has removed or disabled access to such material.

    If you are subject to a notification, you may provide us with a counter notification by providing our Designated Copyright Agent the following information in writing:

    a.  your physical or electronic signature;

    b.  identification of the material that has been removed or to which access has been disabled and the location at which the material appeared before it was removed or access to it was disabled;

    c.  a statement under penalty of perjury that you have a good faith belief that the material was removed or disabled as a result of mistake or misidentification of the material to be removed or disabled; and

    d.  your name, address, and telephone number, and a statement that you consent to the jurisdiction of Federal District Court for the judicial district in which your address is located, or if your address is outside of the United States, for any judicial district in which Rural Opportunities may be found and that you will accept service of process from the person who provided the initial notification of alleged infringement.

    Upon receipt of a proper counter notification under the DMCA (as set forth above), Rural Opportunities will promptly provide the person who provided the initial notification with a copy of the counter notification and inform that person that it will replace the removed material or cease disabling access to it in ten (10) business days. Additionally, Rural Opportunities will replace the removed material and cease disabling access to it not less than ten (10), no more than fourteen (14) business days following receipt of the counter notice, unless Rural Opportunities' Designated Copyright Agent first receives notice from the person who submitted the initial notification that such person has filed an action seeking a court order to restrain you from engaging in infringing activity relating to the material on the Web site.

  14. INDEMNIFICATION. You shall indemnify and hold harmless, and at Rural Opportunities’ request defend, Classmates Rural Opportunities, Inc., its parents, subsidiaries, and affiliates, as well as their respective directors, officers, shareholders, employees, agents and owners (each, an “Indemnified Party”) from and against any and all claims, proceedings, damages, injuries, liabilities, losses, costs and expenses (including reasonable attorneys’ fees, an allocation for in-house counsel, and other legal costs) arising out of your acts or omissions, including but not limited to claims resulting from your use of the Web site, your submission, links, posting or transmission of information or Content, or any breach of your obligations set forth in this agreement. You shall reimburse each Indemnified Party on demand for any costs, expenses and liabilities incurred by such Indemnified Party to which this indemnity relates.

Our Web Site may contain links to other Web sites operated by third parties. We are not responsible for the privacy practices, content, defects or policies of such third party Web sites.

SUBSCRIPTION SERVICES TERMS & CONDITIONS
  1. Some or all of the features and services provided through this Web site require a fee based subscription. Access to the web site and services, are provided on a yearly subscription basis.

  2. Prices for subscriptions vary depending upon the number of users. Subscription prices are as stated in the Seeds of Success price schedule.

    A SINGLE USER IS DEFINED AS ONE PERSON. ACCORDINGLY, AN ENTITY MAY NOT PURCHASE A SINGLE USER SUBSCRIPTION AND THEN ALLOW MULTIPLE INDIVIDUALS WITHIN THAT ENTITY OR ORGANIZATION TO UTILIZE THIS WEB SITE.

  3. If you elect to subscribe to this web site, you understand that your subscription is personal to you and your organization, and may not be transferred or assigned to any other individual or entities. You may not transfer or make available your account name and/or password to others, including without limitation, coworkers. Any unauthorized distribution by you of your account name and/or password may result in cancellation of your subscription without refund and an assessment of additional charges based on the unauthorized use allowed.

  4. From time to time, subscription services, and/or subscription pricing options may change without prior notice.

  5. Subscription Services: All annual subscriptions must be paid at the time of subscription. No refunds shall be provided on canceled subscriptions.

  6. Renewal Policy: Near the end of the annual subscription period, Rural Opportunities will attempt to notify Subscribers to inform them that the annual subscription will expire and to inquire whether the subscriber wishes to renew its subscription. No renewal will occur unless the subscriber decides to renew its membership for another annual period at the then applicable annual rates.
